| Overall Educational Objective | Students will learn the key concepts relating to comparative corporate law. The course will primarily focus on the laws of the continental Europe (in particular the EU Company Law Framework), on the one hand, and of United States (in particular Delaware), on the other. | ||||
| Course Description | Corporate governance systems, types of business organizations, company formation, corporate governance rules, mergers and acquisitions from a comparative perspective. | ||||

Course Learning Outcomes and CompetencesUpon successful completion of the course, the learner is expected to be able to:1) Identifies the international developments and issues for debate in terms of the legal regulation of companies. 2) Recognizes and compares the foundational elements of different corporate governance systems. 3) Demonstrates a systematic knowledge of company formation, rights and duties of shareholders, directors and managers, and corporate transactions in different jurisdictions. 4) Understands the basics of international corporate litigation and arbitration. |
