Overall Educational Objective To acquire the ability to identify legal and ethical issues arising in today’s global business together with the relevant applicable laws.
Course Description The course will conduct a general review of the meaning, sources and administration of business law and provide in-depth coverage of the following areas required to be elaborated and applied before and during business operations; law of contracts, corporate law, intellectual property rights, labor law and ethics & compliance will be examined. The course will also address various legal relationships in the concepts of private law, legislation regulating business, and practices may potentially affect the business climate. Although the course is not designed to make the student a lawyer, it will aim to provide the student with sufficient background in legal concepts and competency to understand circumstances that require a legal consultant.
Course Description in Turkish Bu ders ticaret hukukunun genel olarak anlamı, kaynakları ve yönetilmesi kavramları üzerine yoğunlaşmış olup; ticari faaliyetler öncesinde/sırasında detaylı olarak irdelenmesi ve uygulanması gerekli olan hukuk dalları olan sözleşmeler hukuku, ticaret hukuku, fikri mülkiyet hakları, iş hukuku, etik & uyum alanlarıyla ilgili ayrıntılı bir kapsam sunmaktadır. Bu derste aynı zamanda özel hukuk konseptleri içindeki çeşitli hukuki ilişkiler, ticareti düzenleyen mevzuat ve ticari ortamı potansiyel olarak etkileyebilecek uygulamalar ele alınmaktadır. Bu ders öğrenciden avukat yaratmak üzerine tasarlanmamakla birlikte, öğrenciye hukuki kavramlar hakkında yeterli altyapı ile hukuki danışmanın varlığını gerektiren durumları idrak konusunda yeterlilik sağlamayı amaçlamaktadır.

Course Learning Outcomes and Competences

Upon successful completion of the course, the learner is expected to be able to:
1) identify the sources of law and the Turkish legal system in general;
2) understand the basic principles of laws particularly affecting business operations;
3) summarize the different interests and legal mechanisms relating to corporation;
4) comprehend in detail the law of contracts, its principles and application to various business situations;
5) discuss the ethics and compliance rules involved in local and/or cross border transactions;
6) relate legal principles to economic, political and social circumstances that may arise in the business environment;
7) explain the methods by which legal precedents are established and applied.

Teaching MethodsThis course was developed from an active and collaborative learning perception. The active learning perspective is based on collaborative, inquiry-based, student–centered approach for teaching, in which students are actively involved in their current knowledge accumulation. The course will cover basic terminology and theoretical structure together with the associated practical implications. The methods to be used are introduction to legal concepts in general, case studies and in-class discussions.

Students are always free and encouraged to give feedback and ask questions about the course via e-mail to instructor (ozsevincb@mef.edu.tr). In this course, collaborative learning approach is one of the key principles for gaining knowledge, considering that questioning and discussion are the effective methods for information transfer. Therefore, active student participation in class discussions plays an important role for the grading. Students are expected to attend all sessions and be in class on time. When they cannot attend due to an emergency, they should inform the instructor by e-mail. Cheating and plagiarism related actions are deemed unacceptable under any circumstances, therefore, all individual assignments must be completed by the student himself/herself. Mutual interaction and feedback are always valuable for designing a course promoting significant learning, students are always welcome to ask questions and send e-mails relating to the course related issues. Make-up exams will be subject to the Excuse Regulation (link: (https://students.mef.edu.tr/tr/mazeretlerin-kabulu-ve-mazeret-sinavlarinin-yapili#gsc.tab=0). Students are required to submit a request (together with their reports) to the faculty secretary within three (3) days of the exam via this link: https://www.cognitoforms.com/MEFUniversity/MazeretBildirimFormu). The requests are discussed with the faculty board and the decision taken by the faculty secretary is sent to the instructor. Once the student’s excuse is accepted, the instructor and the student will decide together to arrange the place and time. Academic dishonesty and plagiarism will be subject to the YÖK Disciplinary Regulation.
